These Terms of Service constitute a legally binding agreement between you and Gost. By accessing or using our Service, you agree to be bound by these Terms.

1 Acceptance of Terms

Welcome to Gost. These Terms of Service ("Terms," "Agreement") govern your access to and use of the Gost platform, website, and related services (collectively, the "Service") provided by Gost, Inc. ("Gost," "we," "us," or "our").

By clicking "I agree," creating an account, or accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.

If you do not agree to these Terms, you may not access or use the Service.

2 Definitions

"Service" means the Gost platform, including all agent templates, integrations, APIs, documentation, and related services.

"User," "you," or "your" refers to the individual or entity accessing or using the Service.

"Account" means the account you create to access and use the Service.

"User Content" means any data, content, files, agent configurations, or information you upload, create, or store using the Service.

"Subscription Plan" refers to the pricing tier you select for using the Service.

"Agent Template" means pre-built automation workflows and configurations available through the Service.

3 Account Registration

3.1 Account Creation. To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Immediately notify us of any unauthorized use of your account

3.2 Eligibility. You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this age requirement.

3.3 Account Responsibility. You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

4 Use of Service

4.1 License Grant. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

4.2 Acceptable Use. You agree to use the Service only for lawful purposes and in compliance with:

  • All applicable laws and regulations
  • These Terms and any policies we publish
  • Third-party terms for any integrations you use

4.3 Service Modifications. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation.

4.4 API Usage. If you use our API, you must comply with our API documentation and rate limits. We may modify or restrict API access at any time.

5 User Content and Data

5.1 Ownership. You retain all ownership rights to your User Content. We claim no ownership over your User Content.

5.2 License to Use. By using the Service, you grant us a limited license to store, process, and transmit your User Content solely to provide the Service to you.

5.3 Responsibility. You are solely responsible for:

  • The accuracy, quality, and legality of your User Content
  • Obtaining necessary rights and permissions for your User Content
  • Maintaining backups of your User Content

Important: No Model Training

We will never use your User Content to train AI models or for any purpose other than providing the Service to you.

5.4 Data Security. We implement reasonable security measures to protect your User Content, as described in our Privacy Policy and Security documentation.

6 Payment and Billing

6.1 Fees. You agree to pay all fees associated with your selected Subscription Plan. Fees are non-refundable except as required by law or as expressly stated in these Terms.

6.2 Billing. You authorize us to charge your payment method for all fees. If payment fails, we may suspend or terminate your access to the Service.

6.3 Price Changes. We may change our fees at any time. For existing subscriptions, price changes will take effect at the start of your next billing cycle after we provide at least 30 days' notice.

6.4 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, except for taxes based on our net income.

6.5 Free Trials. If you sign up for a free trial, we may require payment information. You will not be charged until the trial period ends unless you cancel before then.

7 Intellectual Property

7.1 Our IP. The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by Gost or our licensors and is protected by intellectual property laws.

7.2 Restrictions. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or modify any proprietary notices
  • Use the Service to build a competing product

7.3 Feedback. If you provide feedback or suggestions about the Service, we may use it without any obligation to you.

8 Prohibited Conduct

You agree not to:

  • Violate any laws or regulations
  • Infringe upon intellectual property rights of others
  • Upload malware, viruses, or malicious code
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service
  • Use the Service for illegal or fraudulent purposes
  • Share your account credentials with unauthorized users
  • Scrape or harvest data from the Service

9 Termination

9.1 By You. You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of your current billing period.

9.2 By Us. We may suspend or terminate your access to the Service immediately if:

  • You violate these Terms
  • Your payment fails or your account is past due
  • We believe your use poses a security or legal risk

9.3 Effect of Termination. Upon termination, your right to use the Service immediately ceases. You remain responsible for all fees incurred prior to termination. We will retain or delete your User Content as described in our Privacy Policy.

10 Warranties and Disclaimers

10.1 Your Warranties. You warrant that:

  • You have the legal right to enter into these Terms
  • Your User Content does not violate any laws or third-party rights
  • You will use the Service in compliance with all applicable laws

Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11 Limitation of Liability

Important Legal Notice

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GOST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE.

Our total liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

12 Indemnification

You agree to indemnify, defend, and hold harmless Gost and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights

13 Dispute Resolution

13.1 Governing Law. These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

13.2 Informal Resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@gost.com.

13.3 Arbitration. Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13.4 Class Action Waiver. You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action or representative proceeding.

14 Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top of these Terms
  • Notify you via email or through the Service
  • Provide you with at least 30 days' notice before changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

15 General Provisions

15.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gost regarding the Service.

15.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Export Control. You agree to comply with all applicable export control laws and regulations.

15.6 Force Majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control.
